These Terms of Service ("Terms") govern your access to and use of the Globalmart.ai platform, website, and related services (collectively, the "Platform"). The Platform is operated by Globalmart.ai, a company registered in India ("we," "us," or "our").
By accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of the Platform immediately.
These Terms constitute a legally binding agreement between you and Globalmart.ai. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

We reserve the right to investigate and take appropriate action against any User who violates this Acceptable Use Policy, including but not limited to removing Content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

Important: Globalmart.ai is a vendor directory and discovery platform. We are not a marketplace, broker, agent, or intermediary in any transaction between Vendors and Buyers.
You acknowledge and agree that:
The Platform, including but not limited to its design, layout, source code, algorithms, AI models, databases, logos, trademarks, trade names, and all associated intellectual property, is owned by or licensed to Globalmart.ai and is protected by applicable intellectual property laws.
You may not copy, reproduce, modify, distribute, reverse engineer, decompile, disassemble, or create derivative works based on any part of the Platform without our prior written consent.
You retain ownership of any Content that you upload, submit, or display on the Platform. However, by uploading Content to the Platform, you grant Globalmart.ai a non-exclusive, worldwide, royalty-free, transferable, sub-licensable licence to use, reproduce, display, distribute, and modify such Content solely for the purposes of operating, promoting, and improving the Platform.
You represent and warrant that you have all necessary rights and permissions to grant this licence and that your Content does not infringe upon the intellectual property rights or any other rights of any third party.
We reserve the right to remove any Content that we determine, at our sole discretion, violates these Terms or any applicable law.
The Platform uses artificial intelligence and machine learning technologies for vendor matching, search optimisation, and business discovery. You acknowledge and agree that:
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. By using the Platform, you consent to the data practices described in the Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy regarding data protection matters, the Privacy Policy shall prevail.
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by Globalmart.ai. We provide these links for your convenience only.
We do not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interaction with any third-party website or service is governed by that third party's own terms and policies. We strongly advise you to review the terms and privacy policies of any third-party websites you visit.
The current early access registration on Globalmart.ai is offered on a complimentary basis. We reserve the right to introduce paid features, subscription tiers, or premium services in the future.
To the maximum extent permitted by applicable law:
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the minimum extent permitted by applicable law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
You agree to indemnify, defend, and hold harmless Globalmart.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
We reserve the right to suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to:
You may request deletion of your account and associated data by contacting us at hello@globalmart.ai. We will process your request in accordance with our Privacy Policy and applicable data retention requirements.
Upon termination, your right to access and use the Platform ceases immediately. The following provisions shall survive termination: Intellectual Property (Section 9), Limitation of Liability (Section 14), Indemnification (Section 15), Governing Law (Section 17), Dispute Resolution (Section 18), and General Provisions (Section 21).
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
Notwithstanding the above, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.
For Users located in jurisdictions where mandatory consumer protection laws apply, those laws shall prevail to the extent of any conflict with these Terms, but only to the minimum extent required by such laws.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, the parties agree to the following resolution process:
The parties shall first attempt to resolve the dispute amicably through good-faith negotiation. Either party may initiate the negotiation process by sending a written notice to the other party describing the dispute and proposed resolution.
If the dispute is not resolved through negotiation within thirty (30) days of the initial notice, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended from time to time.
Nothing in this section shall prevent you from filing a complaint with the appropriate consumer protection authority in your jurisdiction, where mandatory consumer protection laws grant you the right to do so.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to:
The affected party shall promptly notify the other party of the force majeure event and shall use reasonable efforts to mitigate its effects and resume performance as soon as practicable.
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes:

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.
The failure of Globalmart.ai to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorised representative of Globalmart.ai.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Globalmart.ai regarding your use of the Platform. These Terms supersede all prior and contemporaneous agreements, understandings, negotiations, and communications, whether written or oral, relating to the subject matter hereof.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
These Terms do not create any rights for any third party, and no third party may enforce any provision of these Terms.
These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
